Terms of Service

1. About these terms

These Terms of Service ("Terms") are an agreement between you and Yuvraj Singh (known professionally as Yuvraj Sodhi), who operates SpringKite ("SpringKite", "we", "us"). By creating an account or using SpringKite you agree to these Terms and to our Privacy Policy. If you use SpringKite for a business, you confirm you can accept these Terms for it.

2. The service

SpringKite lets online coaches build a website, publish application forms, receive and qualify leads, and manage them in a dashboard. We may add, change or remove features over time.

3. Your account

• You must be at least 18 and give accurate information.
• You are responsible for your login details and everything done in your account.
• Tell us straight away if you think your account has been accessed without permission.

4. Plans, billing and taxes

• The Free plan costs nothing and has the limits shown on our pricing page.
• Paid plans (Standard and Pro) are monthly subscriptions in US dollars. They renew automatically each month until you cancel.
• Payments are processed by Stripe. Where Stripe Managed Payments applies, Stripe acts as the seller of record and adds sales tax or VAT where required.
• We may change prices with at least 30 days' notice. The new price applies from your next renewal after the notice period.
• If a payment fails, we may limit paid features until it is paid.

5. Cancelling and refunds

You can cancel any time from Plan → Manage billing. Your plan stays active until the end of the period you have paid for, then moves to Free. Payments are non-refundable and we do not give partial refunds for unused time, except where the law requires it or where we decide to make an exception.

6. Your content and your leads

• You own the content you add (text, images, forms) and the applications you receive.
• You give us permission to host, store, copy and display your content only as needed to run SpringKite for you.
• You are responsible for your content and for how you collect and use applicants' information. That includes having a lawful basis and any notices or consents required by privacy, marketing and consumer laws where you and your applicants are.
• You confirm you have the rights to everything you upload, including photos and testimonials, and that client results you show are genuine.

7. Acceptable use

• Do not use SpringKite for anything illegal, harmful, misleading or fraudulent.
• Do not send spam or collect data you are not allowed to collect.
• Do not upload malware, try to break or overload the service, or access other coaches' data.
• Do not make false health or results claims, or give medical advice you are not qualified to give.
• We may remove content or suspend accounts that break these rules.

8. Health and fitness disclaimer

SpringKite is a software tool. We are not a coach, trainer, doctor or dietitian, and we do not check, endorse or guarantee any coach, programme, advice or result shown on a SpringKite site. Coaches alone are responsible for the services they offer, the claims they make and the safety of their clients. Anyone thinking about a fitness or nutrition programme should talk to a qualified health professional first.

9. Coach stores, sales to your clients and platform fees

• If you sell products, programmes or subscriptions through a SpringKite store, you sell them directly to your clients through your own Stripe account. SpringKite is not the seller and is not a party to that sale.
• You are responsible for your prices, product descriptions, delivery, taxes, refunds, cancellations, chargebacks and customer support, and for following consumer and subscription laws where you and your clients are (including clear renewal terms and easy cancellation).
• SpringKite may charge a platform fee on store sales (shown in your dashboard before you start selling). It is taken automatically through Stripe. Stripe's own fees also apply under Stripe's terms.
• You must accept and follow Stripe's terms (including the Stripe Connected Account Agreement) to sell. We may pause your store if Stripe or we see a high risk of fraud or disputes.
• Do not sell anything illegal, unsafe or that you do not have the rights to.

10. Affiliate program

• Any SpringKite account holder can join the affiliate program from the Affiliates page. You get a personal referral link.
• Commission: 30% of each payment (excluding taxes) that a coach you referred makes for a paid SpringKite plan, for the first 12 months after their first payment. Commission is not paid on refunded or disputed payments, and we remove it if the payment is refunded or charged back.
• A referral counts when the new coach signs up within 60 days of clicking your link. If they clicked more than one referral link, the last one counts. New accounts only.
• Earnings are held for 30 days, then become payable. We pay monthly once you have at least US$25 payable, to the Stripe account you connect in SpringKite (or another method we agree). You are responsible for your own taxes on commissions.
• You may promote your link anywhere, including paid ads that mention SpringKite, as long as you are honest and follow the law and each platform's rules. Not allowed: referring yourself or accounts you control, fake sign-ups, spam (including unsolicited bulk email or DMs), pretending to be SpringKite, or misleading claims. We may cancel commissions and remove you from the program for breaking these rules.
• You are an independent affiliate, not our employee, agent or partner.
• We may change or end the program with 30 days' notice. Changes apply to new referrals; coaches you already referred keep the terms that applied when they signed up.

11. Custom domains, emails and AI connections

• If you connect your own domain, you must own it or have permission to use it, and you are responsible for keeping it registered and its DNS settings correct.
• Email alerts are a convenience. Emails can be delayed or lost, so always check your Leads page.
• If you connect an AI assistant to your account, you are responsible for what you ask it to do and for checking its changes before publishing them. AI can make mistakes.

12. Beta features

Some features may be labelled new, beta or preview. They may change, have bugs or be removed, and are provided without any promise that they will keep working.

13. Our intellectual property

SpringKite's software, design, templates and brand belong to us. You may use them only to run your SpringKite account. A small "Made with SpringKite" badge appears on Free plan sites.

14. Availability and changes

We work to keep SpringKite running, but we do not promise it will always be available or error-free. We may carry out maintenance and make changes. Keep your own copies of important information. You can export your leads on paid plans.

15. Disclaimer

SpringKite is provided "as is". To the extent the law allows, we disclaim all warranties, including fitness for a particular purpose. We do not guarantee any number of leads, clients or sales.

16. Limitation of liability

To the extent the law allows, we are not liable for indirect or consequential losses, such as lost profits, revenue or data. Our total liability for all claims together is limited to the greater of (a) the amount you paid us in the 12 months before the claim and (b) US$100. We are not responsible for problems caused by third-party services we rely on (such as Stripe, Supabase, Vercel, Google, email providers or AI providers), by events outside our reasonable control, or by your coaching services or your clients. Nothing in these Terms limits liability that cannot be limited by law.

17. Indemnity

You agree to defend and compensate SpringKite and its operator for claims, losses and costs (including reasonable legal fees) that come from your content, your coaching services or products, your sales to your clients, your use of applicants' or buyers' data, or your breach of these Terms or the law.

18. Suspension and termination

You can stop using SpringKite and delete your account at any time. We may suspend or close an account that breaks these Terms or puts others at risk. Where reasonable, we will tell you first. After closure we may delete your content after a reasonable period.

19. Governing law

These Terms are governed by the laws of the Province of Alberta, Canada and the federal laws of Canada that apply there. This does not take away any mandatory consumer rights you have where you live.

Before starting any legal claim, please email support@springkite.com so we can try to solve the problem informally within 30 days.

20. General

• These Terms and the Privacy Policy are the whole agreement between you and us about SpringKite.
• If any part of these Terms cannot be enforced, the rest still applies.
• If we do not enforce a right straight away, we can still enforce it later.
• You may not transfer your account or these Terms without our permission. We may transfer them if SpringKite is sold or reorganised.

21. Changes to these terms

We may update these Terms. We will change the date at the top and, for important changes, tell coaches by email or in the dashboard. Continuing to use SpringKite after changes take effect means you accept them.
